These Terms of Service ("Terms") govern your use of verticallls.com (the "Site") and the free Operations Scorecard and related content offered by Verticallls, a DBA of GUB LLC ("Verticallls," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Who can use the Site

The Site is intended for business owners and operators who are at least 18 years old and using it for business purposes.

What we provide

The Site offers information about our operations and systems services and a free Operations Scorecard that gives you a score and a summary of where your business may be losing time, money, or efficiency.

The Scorecard and any report are provided for informational purposes only. They are general assessments based on the answers you give and do not constitute legal, financial, accounting, or other professional advice, and they are not a guarantee of any particular result or outcome.

Any paid engagement (for example, a done-with-you or done-for-you implementation) is separate from the Site and is governed by its own written agreement or statement of work. Nothing on the Site is an offer or commitment to perform paid work.

Your responsibilities

You agree to provide accurate information, to use the Site lawfully, and not to:

• Interfere with or disrupt the Site or its security.
• Attempt to access areas or data you are not authorized to access.
• Use the Site to send spam or unlawful content.
• Copy, scrape, or resell our content or methodology without permission.

Intellectual property

The Site, its content, design, and the Operations Scorecard methodology are owned by GUB LLC and protected by intellectual property laws. We grant you a limited, personal, non-transferable right to use the Site for its intended purpose. You may not reproduce or distribute our materials without our written permission.

Third-party tools and links

The Site relies on and links to third-party services (such as scheduling, email, and analytics tools). We are not responsible for the content, availability, or practices of those services.

Disclaimer of warranties

The Site and the Scorecard are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, Verticallls and GUB LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Site or the Scorecard. Our total liability for any claim relating to the Site will not exceed one hundred dollars ($100).

Indemnification

You agree to indemnify and hold harmless Verticallls and GUB LLC from any claims, damages, or expenses arising from your misuse of the Site or violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida.

Changes to these Terms

We may update these Terms from time to time. We will post the new version here with an updated effective date. Your continued use of the Site means you accept the updated Terms.
